Prevalon Energy LLC (hereinafter “Prevalon”) is dedicated to enabling a sustainable energy future through advanced energy storage solutions. We strive to deliver safe, reliable, and innovative systems that empower energy transformation globally. This Supplier Code of Conduct outlines the principles that ensure social responsibility, environmental stewardship, and ethical practices throughout our supply chain.

Purpose

This Supplier Code of Conduct (“Code”) defines the minimum standards required of Prevalon’s suppliers to uphold ethical, social, and environmental responsibility. Suppliers are expected to adhere to applicable laws, international standards, and the expectations outlined in this Code, implementing their own policies to maintain compliance within their supply chains.

Diversity and Inclusion

Prevalon is committed to fostering diversity by providing contracting opportunities irrespective of race, color, religion, gender, sexual orientation, gender identity or expression, marital status, pregnancy, national origin, citizenship, veteran status, age, disability, medical condition, genetic information, or any other legally protected status. We actively value diverse perspectives and encourage our suppliers to engage with certified diverse businesses. To further promote inclusion, we support efforts to track and report diverse supplier spending, strengthening the impact of diversity throughout our supply chain.

Business Ethics and Compliance

Suppliers must conduct their business with integrity and comply with all laws related to bribery, corruption, and other prohibited practices.

  • Integrity: Suppliers must conduct business with integrity and strictly adhere to anti-corruption, anti-bribery, and fair competition laws.
  • Transparency: Suppliers must provide accurate documentation and avoid any form of misrepresentation.
  • Global Trade Compliance: Suppliers must comply with all applicable laws governing exports, imports, and sanctions.
  • Conflicts of Interest: Suppliers must avoid any situations that could create a conflict of interest with Prevalon employees or partners.
  • Confidentiality: Protecting Prevalon’s proprietary information is essential. Suppliers must safeguard sensitive data and promptly report any breaches.
  • Compliance with Global Anti-Corruption Laws: Suppliers represent and warrant that they and their officers, directors, employees or agents comply with all applicable Global Anti-Corruption Laws.
  • Business Continuity: Suppliers shall be prepared for any disruptions of their businesses (e.g., natural disasters, terrorism, software viruses, illness, pandemic, infectious diseases). This preparedness especially includes disaster plans to protect both employees and the environment as far as possible from the effects of possible disasters that arise within the domain of operations.

Human Rights and Labor Practices

Prevalon expects its Suppliers to share its commitment to promoting and respecting human rights and equal opportunity in the workplace. All Suppliers are expected to conduct their employment practices in full compliance with all applicable laws and regulations and must, without limitation, take attention to:

  • Child and Forced Labor: Suppliers must ensure that no child labor or forced labor is used in their operations or supply chains.
  • Harassment and Non-Discrimination and Inclusion: Suppliers must provide a workplace free from harassment, discrimination, and abusive practices.
  • Diversity and Inclusion: Suppliers should, when appropriate, encourage a commitment to the diversity of economic inclusion, and where possible, track certified diverse spending.
  • Wages and Working Hours: Suppliers must comply with all applicable wage laws and regulations, ensuring fair compensation and reasonable working hours.
  • Worker Protections: Whistleblower protections must be in place, enabling workers to report concerns without fear of retaliation.

Health and Safety

Suppliers must provide a safe and healthy working environment for employees. This includes implementing robust safety protocols, providing necessary training, and ensuring compliance with local and international safety standards. Emergency preparedness plans must also be established to mitigate risks to workers and the environment.

Environmental Regulations and Protection

Suppliers must comply with all applicable environmental laws, regulations, and standards, as well as implement an effective system to identify and eliminate potential hazards to the environment. Suppliers should work for continual improvement in their environmental management systems and continuously improve their environmental performance. Suppliers should follow the principles of reducing, reusing, and recycling. Furthermore, Suppliers shall strive to reduce their consumption of energy and resources, as well as their waste and emissions.

  • Sustainability: Suppliers must minimize their environmental impact by reducing emissions, conserving energy, and optimizing resource use.
  • Regulatory Compliance: Suppliers must comply with all environmental laws and regulations, implementing systems to identify and mitigate potential environmental risks.
  • Innovation: Suppliers are encouraged to adopt sustainable practices, such as using recycled materials, minimizing waste, and developing eco-friendly technologies.

Responsible Mineral Sourcing

Suppliers must ensure responsible sourcing of materials, avoiding conflict minerals, and adhering to OECD guidance for due diligence in mineral supply chains.

Cybersecurity and Data Protection

Prevalon requires suppliers to implement robust cybersecurity measures to protect sensitive data and ensure the integrity of Prevalon’s systems.

Restricted Entities

Prevalon and its suppliers ensure that goods, materials, and components are not procured, manufactured, or processed by entities or in regions listed on the U.S. CBP restricted list, sanctioned by the U.S. Department of Treasury (OFAC), or restricted under applicable laws, including but not limited to Section 889 of the National Defense Authorization Act for FY 2019.

Compliance with this Supplier Code of Conduct

Suppliers must notify Prevalon of any non-compliance with this Code and collaborate to implement corrective actions.
